  1. Introduction

    Welcome to PingMe (“Service”), a platform developed and operated by Luma21 LLC (“we,” “us,” or “our”). PingMe allows users to setup recurring jobs and alerts via natural language prompts. By accessing or using PingMe, you agree to comply with and be bound by these Terms of Service (“Terms”).

    If you do not agree with any part of these Terms, you must not access or use PingMe.

  2. Eligibility

    You may only use PingMe if:

    • You are at least the age of majority in your jurisdiction; and
    • You have the legal capacity and authority to enter into these Terms.

    By using PingMe, you represent and warrant that you meet all the eligibility criteria stated above.

  3. Acceptance of Terms

    By accessing or using PingMe, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should immediately stop using the Service.

  4. Modifications to the Terms

    We reserve the right, in our sole discretion, to change, modify, or update these Terms at any time. When we do, we will post the updated Terms on our website and update the "Last Updated" date at the top of this page. Your continued use of PingMe after any such changes constitutes your acceptance of the revised Terms.

  5. Description of the Service

    • General Functionality: PingMe is a web monitoring service that allows users to track changes on websites by submitting plain English queries. It automates the process of checking web content and sending alerts when changes occur.
    • AI and Processing Outputs: The outputs and alerts from PingMe are generated using AI models, such as OpenAI and Deepseek R1, and may not always be accurate, complete, or up-to-date. You acknowledge that all outputs and responses are provided on an “as is” basis.
    • Updates and Improvements: We may, at our discretion and without obligation, update or improve the functionality of PingMe. We do not guarantee that any specific feature or part of the Service will always be available.

  6. User Conduct

    When using PingMe, you agree NOT to:

    • Violate any applicable laws, regulations, or these Terms;
    • Use the Service for any unlawful, harmful, or malicious purpose;
    • Attempt to gain unauthorized access to, interfere with, or disrupt any servers or networks connected to PingMe;
    • Transmit viruses, malware, or other harmful code;
    • Collect or harvest personal data from other users;
    • Use PingMe to generate or share content that infringes on any intellectual property or privacy rights of a third party.

  7. Privacy

    Your use of PingMe is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using PingMe, you consent to our actions regarding your information as outlined in the Privacy Policy.

  8. Intellectual Property

    • Ownership: Luma21 LLC and its licensors own all rights, title, and interest in and to PingMe, including all underlying software, technology, and content (excluding User Content).
    • User Content License: By submitting or transmitting any content (“User Content”) to PingMe, you grant Luma21 LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to store, display, process, and use your User Content in connection with providing and improving the Service.
    • Trademarks: All trademarks, service marks, logos, and other proprietary designations belonging to Luma21 LLC are trademarks of Luma21 LLC.

  9. Disclaimers

    • No Warranty: PingMe is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
    • Accuracy of Information: We do not guarantee the accuracy, completeness, or timeliness of any information or data provided by PingMe. Reliance on such information is at your own risk.
    • No Professional Advice: PingMe is not a substitute for professional advice (legal, financial, technical, or otherwise). Always seek guidance from qualified professionals before making decisions based on the Service’s outputs.

  10. Limitation of Liability

    To the fullest extent permitted by law:

    • No Liability for Indirect Damages: We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of PingMe.
    • Liability Cap: Our total liability will not exceed the amount you paid us, if any, in the 12 months preceding the event giving rise to the liability or one hundred US dollars (USD $100), whichever is greater.

  11. Indemnification

    You agree to defend, indemnify, and hold harmless Luma21 LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of:

    • Your use of PingMe or any activities under your account;
    • Your breach of these Terms;
    • Your violation of any law or third-party rights.

  12. Third-Party Services

    PingMe may link to third-party services or content. We do not endorse or assume responsibility for such third-party services. Your interactions with these services are governed by their own terms and policies.

  13. Term and Termination

    • Term: These Terms remain in effect as long as you use PingMe.
    • Termination by You: You may stop using PingMe at any time.
    • Termination by Us: We may suspend or terminate your access to PingMe for any reason, including a violation of these Terms.
    • Effect of Termination: Upon termination, your rights to use PingMe will immediately cease.

  14. Governing Law and Dispute Resolution

    These Terms and your use of PingMe will be governed by the laws of the jurisdiction where Luma21 LLC is incorporated, without regard to its conflict of law provisions. Any disputes will be resolved exclusively in the courts of that jurisdiction.

  15. Changes to the Service

    We reserve the right to modify, suspend, or discontinue PingMe (in whole or in part) at any time, with or without notice. We will not be liable for any such modifications or discontinuation.

  16. General

    • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.
    • No Waiver: A failure to enforce any provision does not waive future enforcement of that provision.
    • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Luma21 LLC.
    • Assignment: You may not assign or transfer these Terms without our consent. We may freely assign or transfer them.
